End User License Agreement

This End User License Agreement (“EULA” or “Agreement”) constitutes a legally binding agreement between you (“User,” “Player,” “you,” or “your”) and Kiyoo Studio Inc, an Alberta corporation having its principal place of business in the Province of Alberta, Canada (“Kiyoo Studio,” “we,” “our,” or “us”).

This Agreement governs your download, installation, access, and use of the Tiny Galaxies software application (the “Game”) and all associated updates, patches, online features, and content provided by Kiyoo Studio.

By installing, accessing, or using the Game, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree to these terms, you must not install or use the Game.

This Agreement is distinct from and operates in conjunction with Kiyoo Studio’s Terms and Conditions (applicable to its website and general online services) and Privacy Policy (which explains data collection and usage practices). In the event of any inconsistency between this EULA and those documents, this EULA shall prevail with respect to the use of the Game.

Subject to your full and continued compliance with the terms of this EULA, Kiyoo Studio hereby grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use one copy of the Game on a compatible mobile device that you own or control, solely for your personal, non-commercial entertainment purposes.

This license does not convey any ownership interest in the Game or its intellectual property. All rights not expressly granted herein are reserved by Kiyoo Studio. You acknowledge that Kiyoo Studio remains the sole owner of the Game and all related intellectual property rights, whether registered or unregistered.

Except as expressly permitted under this EULA or by Applicable Law, you shall not, and shall not permit any third party to:

(a) Reproduce, copy, distribute, sell, rent, lease, lend, sublicense, or otherwise transfer the Game or any of its components;
(b) Reverse engineer, decompile, disassemble, translate, or otherwise derive the source code or underlying structure of the Game;
(c) Modify, adapt, or create derivative works based on the Game or any of its content;
(d) Circumvent, disable, or interfere with any security or digital rights management features;
(e) Use cheats, bots, automation software, exploits, or any unauthorized third-party tools that interact with the Game;
(f) Use the Game for any commercial purpose, public performance, or competition not expressly authorized by Kiyoo Studio;
(g) Engage in any conduct that Kiyoo Studio determines, in its sole discretion, to be abusive, fraudulent, or disruptive to the experience of other players or to the integrity of the Game.

Any violation of the foregoing restrictions constitutes a material breach of this Agreement and may result in immediate termination of your license without notice or refund.

All rights, title, and interest in and to the Game, including its software code, graphics, artwork, sound effects, music, interface design, narrative elements, and all accompanying documentation, are and shall remain the exclusive property of Kiyoo Studio Inc and its licensors.

The Game is protected by Canadian and international copyright, trademark, and other intellectual property laws and treaties. Except as expressly provided in this Agreement, no rights or licenses are granted, whether by implication, estoppel, or otherwise.

You acknowledge that any unauthorized use of the Game or its content constitutes infringement and may expose you to civil and criminal liability.

Certain Game features, such as leaderboards or online interactions, may require the creation of a user account or the connection of your Game profile to a third-party platform (such as Apple Game Center or Google Play Games).

You agree to provide accurate, current, and complete information when creating an account and to maintain the confidentiality of any login credentials associated with your access. You are solely responsible for all activities occurring under your account, whether authorized by you or not.

Kiyoo Studio reserves the right to suspend, restrict, or terminate access to your account or Game features if it believes you have violated this EULA, engaged in cheating or exploitation, or acted in a manner detrimental to the Game’s community or integrity. Kiyoo Studio shall not be liable for any loss of access, virtual items, or progress resulting from such termination.

The Game may include optional features allowing users to acquire virtual items, currency, or enhancements (“Virtual Goods”) through in-app purchases. Virtual Goods have no real-world monetary value and do not represent a tangible asset or property interest.

Purchases of Virtual Goods are processed exclusively through the Apple App Store, Google Play, or other authorized distribution platforms, and are subject to their respective terms of service and payment policies. Kiyoo Studio does not access or store payment card details and bears no responsibility for platform billing errors, chargebacks, or refund disputes.

You acknowledge that all Virtual Goods are non-refundable, non-exchangeable, non-transferable (even between accounts), and may be modified, discontinued, or removed at any time at Kiyoo Studio’s discretion.

All in-app purchases and transactions related to the Game are final. Except as expressly required by Applicable Law or the policies of the platform provider through which the transaction occurred, Kiyoo Studio will not issue refunds or credits for any Virtual Goods, digital content, or unredeemed game features.

Users seeking a refund must contact the relevant platform provider directly. Kiyoo Studio does not control, and cannot guarantee, the outcome of any refund request.

Where a refund is granted by a platform provider, Kiyoo Studio reserves the right to adjust or revoke associated Virtual Goods or account benefits to maintain transactional consistency.

The Game includes competitive elements such as global or local leaderboards, which display usernames, scores, achievements, or similar gameplay metrics. By participating in these features, you consent to the public display of such information both within the Game and on Kiyoo Studio’s official online channels.

Kiyoo Studio reserves the right to remove or modify leaderboard entries suspected of cheating, manipulation, or automated play. Repeated or egregious violations may result in suspension or permanent banning of the associated account or device.

Leaderboard data may be retained and displayed as part of the Game’s historical records, even after a user ceases participation.

You agree to use the Game responsibly and to respect other players and the integrity of gameplay. You shall not engage in any conduct that:

(a) Constitutes harassment, discrimination, or targeted abuse of other users;
(b) Exploits software bugs or glitches to gain unfair advantage;
(c) Uses unauthorized software, macros, or scripts to automate gameplay;
(d) Attempts to impersonate other users or Kiyoo Studio staff;
(e) Uploads or disseminates harmful, defamatory, or unlawful material;
(f) Undermines the security or stability of the Game servers.

Kiyoo Studio maintains a zero-tolerance policy for cheating, harassment, or abuse. It reserves the right to enforce disciplinary measures—including temporary suspension, permanent account bans, or device-level restrictions—without prior notice.

All determinations by Kiyoo Studio regarding misconduct or cheating are final and not subject to appeal.

Kiyoo Studio may, from time to time and without prior notice, deploy updates, patches, or modifications to the Game for reasons including but not limited to performance enhancement, bug correction, security improvement, or content expansion.

Such updates may be required to continue using the Game, and you acknowledge that failure to install mandatory updates may result in loss of access or limited functionality.

Kiyoo Studio reserves the right to alter, suspend, or discontinue the Game, any of its features, or associated services at any time, without obligation to provide compensation, refund, or notice.

You understand that online features of the Game may be subject to server availability, maintenance schedules, or technical limitations, and Kiyoo Studio disclaims liability for any temporary or permanent disruption of access.

The Game integrates and interacts with third-party technologies and services, including but not limited to Unity Ads (for advertisement delivery and monetization) and Firebase Crashlytics (for crash reporting and performance analytics). These third parties may collect and process certain technical data from your device, including IP address, device identifiers, and usage metrics, in accordance with their respective privacy policies.

By using the Game, you acknowledge and agree that your interaction with these third-party services is governed by their own terms of service and privacy policies, not those of Kiyoo Studio. Links to such policies are provided for transparency within the Kiyoo Studio Privacy Policy.

Kiyoo Studio does not control, endorse, or assume responsibility for the content, operation, or data practices of these third parties. To the maximum extent permitted by law, Kiyoo Studio disclaims all liability arising from your use of or reliance upon such services.

Your privacy is important to us. The Game collects and processes data as described in the Kiyoo Studio Privacy Policy, which is incorporated herein by reference. The types of data processed include gameplay analytics, crash diagnostics, and advertisement performance metrics.

Kiyoo Studio does not collect or store payment information; all transactions are processed by platform providers (Apple or Google). By using the Game, you consent to the collection and processing of data necessary for gameplay functionality, analytics, and compliance with applicable legal obligations.

If you do not agree to the terms of the Privacy Policy, you must cease all use of the Game and uninstall it from your device.

This EULA is effective from the moment you install or use the Game and shall continue until terminated. Kiyoo Studio may, at its sole discretion and without notice, suspend or terminate this EULA and your access to the Game if you:

(a) Violate any provision of this Agreement;
(b) Engage in cheating, fraud, or abusive behavior;
(c) Infringe Kiyoo Studio’s intellectual property or proprietary rights; or
(d) Use the Game in a manner deemed unlawful or harmful to others.

Upon termination, you must immediately cease all use of the Game, uninstall all copies, and destroy any related materials in your possession. Termination shall not affect any rights or obligations accrued prior to the effective date thereof, nor shall it entitle you to any refund or compensation.

Kiyoo Studio also reserves the right to discontinue the Game or any of its features at any time, for any reason, without liability to you.

To the fullest extent permitted by applicable law, the Game and all related services are provided on an “as is” and “as available” basis without any warranties or representations, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Kiyoo Studio does not warrant that the Game will be uninterrupted, error-free, secure, or compatible with all devices or operating systems. Your use of the Game is at your sole risk. You assume full responsibility for any loss of data, device failure, or damage resulting from installation or use of the Game.

Certain jurisdictions do not permit the exclusion of implied warranties; in such cases, the scope and duration of any applicable warranty shall be limited to the minimum extent required by law.

To the maximum extent permitted by law, in no event shall Kiyoo Studio Inc, its directors, officers, employees, contractors, or licensors be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, goodwill, data, or other intangible losses arising from or relating to your use of, or inability to use, the Game.

Kiyoo Studio’s total cumulative liability to you for all claims arising from or relating to this EULA or the Game shall not exceed the greater of (a) the total amount you paid for the Game or in-app purchases in the three (3) months preceding the claim, or (b) one hundred Canadian dollars (CAD 100.00).

Some jurisdictions do not allow limitations of liability for certain types of damages, so portions of this section may not apply to you.

You agree to defend, indemnify, and hold harmless Kiyoo Studio Inc, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

(a) Your violation of this EULA or any Applicable Law;
(b) Your misuse or unauthorized use of the Game;
(c) Your infringement or alleged infringement of any third-party rights.

Kiyoo Studio reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate fully with Kiyoo Studio in defending such claim.

This EULA shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

You irrevocably consent to the exclusive jurisdiction of the courts located in Alberta, Canada, for the resolution of any disputes, claims, or proceedings arising under or related to this EULA or your use of the Game.

Nothing in this section shall prevent Kiyoo Studio from seeking injunctive or equitable relief in any jurisdiction as necessary to protect its intellectual property or proprietary rights.

If any provision of this EULA is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall remain in full force and effect.

No failure or delay by Kiyoo Studio in exercising any right, power, or remedy under this EULA shall operate as a waiver thereof, nor shall any single or partial exercise of such right preclude any other or further exercise of it or any other right or remedy. Any waiver must be in writing and signed by an authorized representative of Kiyoo Studio to be effective.

This EULA, together with Kiyoo Studio’s Privacy Policy and any additional terms expressly referenced herein, constitutes the entire agreement between you and Kiyoo Studio concerning your use of the Game and supersedes all prior or contemporaneous understandings, agreements, or communications, whether written or oral, regarding the same subject matter.

If there is a conflict between this EULA and any other agreement or policy relating to the Game, the terms of this EULA shall control.

Kiyoo Studio will make reasonable efforts to respond to legitimate inquiries within a commercially reasonable timeframe.

This EULA is effective as of 8th October 2025 and supersedes any prior versions governing use of the Tiny Galaxies game.

By installing, accessing, or playing Tiny Galaxies, you confirm that you have read, understood, and agree to be bound by the terms of this End User License Agreement.
